EXECUTIVE SUMMARY

 

     ANI International, LLC’s (“ANII”) market niche is to provide medical institutions an alternative means of access to capital intensive medical equipment such as CT’s, MRI’s, PET scanners, and in particular Gamma Knife and MEG units.  Each of ANII’s centers is operated through a single purpose legal entity, typically a limited liability company.  The equity ownership of each such entity is usually split between ANII and the participating institution, with ANII holding the majority interest.  The participating institution does not guarantee the debt or other obligations of the center to ANII’s investment sources.  ANII operates specialized patient billing, management and maintenance companies, which provide all billing, management and maintenance (Gamma Knife unit maintenance is performed by the manufacturer) services to the center under separate contracts.  All profits net of these service contract expenses, debt service and other operational expenses are distributed pro rata to the participants in accordance with their  respective  equity  positions.

 

     The result of  these arrangements permits medical institutions to have access to the technology,  and thereby satisfy patient, medical practitioner and ultimately business demands  for  little  or  no  capital investment  while  sharing  in the operational revenue generated from the centers’ activities. 

    

HISTORY OF ANI

 

         The founding Principals of ANII began business in Indiana and Missouri in 1986. Experienced in multiple facets of the medical industry, ANII is proud to deliver fast and flexible solutions to meet the unique needs of the healthcare industry.  When appropriate, we also strive to share our expertise with our partners to help improve workflow and profitability. ANI implements strategies that help our facilities remain viable and achieve the right balance of quality, investment and cost.

 

PROJECT HISTORY

 

         The first five years produced 45 fee-per-procedure contracts in 16 separate states primarily located in the Midwest.  Most of the projects consisted of placing CT scanners in rural county hospitals, which introduced a more sophisticated level of technology to the hospital.  These projects proved to be lucrative which allowed the company to expand into larger projects.  Having a proven track record with fee-per-procedure projects, the Principals of ANII were offered the opportunity to work with Methodist Hospital in Memphis, Tennessee to place the State’s first Gamma Knife on the hospital’s campus.  This extremely successful project received national recognition, which opened doors of opportunity for the company.  In the fall of 1996, the Principals of ANII began to acquire freestanding diagnostic centers in large metropolitan cities. A total of seven centers along with 70 employees were owned, operated and managed by the Principals of ANII.  These centers located in cities such as Chicago, Baltimore and Milwaukee began to open additional opportunities.  In 1999, the Principals of ANII were approached to sell their equity position on some of the aforementioned projects, resulting in a shift in focus to larger medical institutions.

    

     The new millennium provided exciting opportunities as the Principals of ANII projected the evolution of the P.E.T. scanner to be widely requested by health care providers throughout the country.  Once again, the window opened and the company developed a Gamma Knife Center combined with a P.E.T. Center that opened in New Orleans, Louisiana in cooperation with LSU Health Sciences Center, Tulane Health Sciences Center and a local hospital, Touro Infirmary.  This success lead to another freestanding 10,000 square-foot P.E.T. facility located in Memphis, Tennessee owned in conjunction with Methodist Hospital.  The remaining space of the 10,000 square foot building was leased to a private company specializing in the installation and operation of cyclotrons.  Having a cyclotron next to the P.E.T. unit will allow for unique heart studies and research projects using specialized radiopharmaceuticals.  In addition to these freestanding centers, the Principals of ANII continue to place diagnostic equipment in hospitals throughout the country on a fee-per-procedure program. 

 

CONCLUSION

 

     Over the past 15 years, ANII has invested approximately $150 million in over 100 projects located in 25 separate states.  The opportunities continue to grow as the demand for alternative financing for hospital equipment increases. Numerous health care providers and hospital chains are contacting ANI for its ability to creatively finance their needs and provide much-needed equipment to their facilities, which allows continued growth for the institutions.
